Terms and Conditions Four Seasons Quality B.V.

1. Applicability
– These terms apply exclusively to business customers (B2B).
– Deviations are only valid if agreed in writing.

2. Offers and prices
– All offers are without obligation and subject to availability.
– All prices are exclusive of VAT and shipping costs, unless stated otherwise.

3. Conclusion of agreement
– The agreement is concluded after confirmation of the order by FSQ.
– Orders can only be placed by registered business accounts.

4. Payment
– Delivery only takes place upon advance payment via Mollie, unless agreed otherwise in writing.
– In case of late payment, the customer is in default without notice and statutory commercial interest is due.

5. Delivery and risk
– Delivery takes place from stock, unless otherwise stated on the webshop.
– Shipping is via DPD or another agreed carrier.
– Communicated delivery times are indicative; delays do not entitle compensation.
– The risk of loss or damage during transport lies with the carrier. FSQ will make reasonable efforts to recover damages from the carrier.
– If the customer chooses own transport, all risk lies with the customer.
– The customer is responsible for providing correct company and delivery details. Errors due to incorrect information are the customer’s responsibility.

6. Partial deliveries
– FSQ is entitled to deliver orders in parts, provided these concern full transport units (full boxes).
– Partial deliveries may be invoiced separately.

7. Returns and complaints
– Returns are only accepted in case of visible damage upon delivery.
– Other returns require prior written agreement with FSQ.
– Complaints must be reported in writing within 7 days of receipt.

8. Retention of title
– Delivered goods remain the property of FSQ until full payment has been made.

9. Liability
– FSQ’s liability is at all times limited to the invoice value of the relevant delivery.
– FSQ is not liable for indirect damages such as consequential loss or lost profits.

10. Force majeure
– In case of force majeure (transport issues, strikes, natural disasters), FSQ may suspend or dissolve the agreement without liability.

11. Intellectual property
– All brand names, logos, images, product descriptions, and texts remain the property of FSQ.

12. Exclusion of customer’s purchasing terms
– Only these terms apply; customer’s purchasing conditions are excluded unless expressly accepted in writing.

13. Price changes
– FSQ may adjust prices in case of changes in VAT, transport costs, or exchange rates.

14. Indemnification
– The customer indemnifies FSQ against third-party claims related to use or resale of products, unless the damage was caused by FSQ.

15. Governing law and disputes
– Dutch law applies.
– Disputes will be submitted to the competent court in the district where FSQ is established.
